Terms of Service

Effective Date: March 1, 2026

Welcome to Graphiquity. These Terms of Service ("Terms") govern your access to and use of the Graphiquity platform, including our website, APIs, and related services (collectively, the "Service"), operated by Graphiquity Inc. ("Graphiquity," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Graphiquity is a serverless graph database platform that provides:

  • A managed, append-only graph database with temporal versioning
  • Cypher query language support over a REST API
  • Graph data storage backed by AWS DynamoDB
  • API key and JWT-based authentication for programmatic access
  • A web-based query console with syntax highlighting and result visualization
  • Multi-tenant data isolation with optional dedicated table provisioning

We may modify, update, or discontinue features of the Service at any time with reasonable notice.

3. Account Registration

  1. You must provide accurate and complete information when creating an account. Accounts are provisioned through AWS Cognito for authentication.
  2. You are responsible for maintaining the confidentiality of your account credentials, including passwords and API keys.
  3. You must be at least 13 years of age to create an account.
  4. You are responsible for all activity that occurs under your account. Notify us immediately at support@graphiquity.com if you suspect unauthorized access.
  5. One person or legal entity may not maintain more than one free-tier account.

4. Acceptable Use

You agree not to use the Service to:

  1. Violate any applicable local, state, national, or international law or regulation.
  2. Store, transmit, or process any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  3. Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks.
  4. Interfere with or disrupt the integrity or performance of the Service, including circumventing rate limits or abuse protections.
  5. Use the Service to send unsolicited communications (spam) or for any fraudulent purpose.
  6. Reverse-engineer, decompile, or disassemble any portion of the Service.
  7. Use automated means (bots, scrapers) to access the Service in a manner that exceeds reasonable usage or circumvents rate limits.

We reserve the right to suspend or terminate accounts that violate these terms, with or without prior notice.

4a. Fair Use Policy

Certain paid plans advertise "unlimited" queries or storage. These features are subject to a fair-use policy designed to prevent abuse and ensure consistent performance for all customers.

  1. Reasonable Usage. "Unlimited" means there is no hard cap for normal production workloads. It does not permit usage that is disproportionate to the plan's intended scope or that degrades the experience of other customers.
  2. Thresholds. If your usage consistently exceeds 10x the median usage of accounts on the same plan, we may contact you to discuss upgrading to a higher tier or an Enterprise agreement.
  3. Remediation. We reserve the right to throttle or rate-limit accounts that exceed fair-use thresholds after providing reasonable notice and an opportunity to reduce usage or upgrade.

5. Data Ownership

  1. Your Data. You retain all rights, title, and interest in and to the data you store in Graphiquity ("Customer Data"). We do not claim ownership over your Customer Data.
  2. License to Us. You grant us a limited license to host, store, process, and transmit your Customer Data solely to provide and improve the Service.
  3. Data Portability. You may export your Customer Data at any time through the API. Upon account termination, we will make reasonable efforts to allow you to export your data within 30 days.

6. Service Level

  1. Free Tier. The free tier is provided on a best-effort basis with no guaranteed uptime, availability, or performance SLA. Free-tier accounts share underlying infrastructure resources.
  2. Paid Tier. Paid accounts receive dedicated table provisioning and enhanced isolation. Specific service level commitments, if any, are described in your paid plan agreement.
  3. Maintenance. We may perform scheduled and unscheduled maintenance that may temporarily affect Service availability. We will make reasonable efforts to provide advance notice of planned maintenance.

7. Intellectual Property

  1. The Service, including its design, code, documentation, logos, and trademarks, is owned by Graphiquity Inc. and is protected by intellectual property laws.
  2. These Terms do not grant you any right to use the Graphiquity name, logo, or trademarks without our prior written consent.
  3. Feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to you.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  2. GRAPHIQUITY INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
  3. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

9. Termination

  1. You may terminate your account at any time by contacting us or through the account settings in the Service.
  2. We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or fail to pay applicable fees.
  3. Upon termination, your right to access the Service ceases immediately. We may retain your Customer Data for up to 30 days following termination to allow for data export, after which it will be permanently deleted.
  4. Sections regarding Limitation of Liability, Intellectual Property, and any provisions that by their nature should survive, will survive termination.

10. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.
